CRM Centiva – Terms of Use

These Terms of Use constitute a binding agreement between you (the "Client") and Centiva Inc. ("we", "us", "our"), an authorized reseller of the Go High Level technology platform (the "Platform" or "CRM"). By accessing or using our services, you agree to the conditions outlined below.
1. Introduction and Acceptance
1.1. Centiva Inc. is an official reseller of the Go High Level platform. By using the Platform, you agree to these Terms, our Privacy Policy, and all applicable laws in Quebec and Canada.
1.2. These Terms supplement any contractual agreement between you and Centiva.
1.3. If you do not accept these Terms, you may not use our services.
2. Limited Liability
2.1. Third-Party Provider: The CRM is built and maintained by Go High Level. Centiva acts solely as a reseller and integrator and is not responsible for any bugs, service interruptions, or platform changes.
2.2. Client Relationship: You are solely responsible for your business activities, client communications, and data usage. Centiva does not oversee your operations.
2.3. Liability Disclaimer: Centiva is not liable for any data loss, service disruption, or damage, unless caused by gross negligence or intentional misconduct.
3. Legal and Regulatory Obligations
3.1. You must comply with all applicable laws, including:

the Real Estate Brokerage Act (Quebec),

Quebec’s Privacy Legislation (Law 25),

the Canadian Anti-Spam Law (CASL),
-
and any franchise-specific policies (e.g., from RE/MAX Québec).
3.2. You are responsible for obtaining express consent before communicating with contacts.
3.3. You may not use the CRM to store or process personal information unlawfully.
4. Usage Conditions
4.1. You agree to use the Platform in a lawful, responsible, and professional manner.
4.2. You may not:

send unsolicited emails (spam),
-
record calls without consent,
-
impersonate others or bypass security controls,
-
engage in any fraudulent, harmful, or illegal activity.
5. Telephony, A2P, and Blocked Calls
5.1. SMS features require A2P verification. Without proper registration, SMS functionality will be blocked.
5.2. If your website is not managed by Centiva, you are responsible for ensuring compliance (e.g., privacy policies and legal mentions).
5.3. Anonymous or blocked calls are automatically rejected by the system.
6. Email and Visibility of Correspondence
6.1. If you activate bidirectional email sync, any message exchanged with a contact stored in the CRM may be visible to authorized team members.
6.2. The account manager must inform team members of this feature.
7. Third-Party Providers and Platform Limitations
7.1. The CRM is powered by Go High Level. Certain functions and limitations depend on their development roadmap and API access.
7.2. Centiva cannot guarantee the continuity of any third-party feature modified or removed by Go High Level.
7.3. Custom feature requests must adhere to the technical limitations of the Go High Level ecosystem.
8. No Guarantees on Performance
8.1. The CRM is provided “as is”, without warranty of commercial results or business success.
8.2. Centiva makes no representation that the Platform will meet your specific needs.
8.3. We are not liable for external events such as outages, cyberattacks, or third-party incidents.
9. Suspension, Audits, and Compliance
9.1. Centiva reserves the right to suspend or limit access in the event of non-compliance or abuse, without reimbursement.
9.2. We may perform audits with reasonable notice to ensure legal and operational compliance.
9.3. The client remains responsible for any misuse by internal staff or subcontractors.
10. Data Backup, Export, and Deletion
10.1. You may export your data at contract termination. Centiva is not obligated to retain your information.
10.2. You are solely responsible for regular data backups.
10.3. Once your account is closed, your data may be permanently deleted without recovery options.
11. Indemnification
11.1. You agree to indemnify and hold Centiva harmless against any loss, claim, legal fee, or damage arising from:

your use of the CRM,

your client relationships or marketing activities,
-
any violation of these Terms or applicable laws.
12. Changes to Terms
12.1. Centiva may update these Terms at any time. Major updates will be announced at least 15 days in advance.
12.2. Continued use of the Platform constitutes acceptance of the latest version.
13. Governing Law and Jurisdiction
13.1. These Terms are governed by the laws of Quebec and applicable federal laws of Canada.
13.2. Any dispute will be submitted to the exclusive jurisdiction of the courts of Montréal, Québec.
